These Terms of Service (the “Terms”) govern your access to and use of the meddataflow platform and any related websites, APIs, software, and services (collectively, the “Services”). By using the Services, you agree to be bound by these Terms.
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree not to misuse the Services or assist others in doing so. Prohibited uses include, but are not limited to: attempting unauthorized access; disrupting or interfering with the security or integrity of the Services; reverse engineering the Services; using the Services to transmit malicious code or unlawful content; or violating applicable laws or third-party rights.
You retain ownership of all data you submit to the Services (“Customer Data”). You grant us a limited license to host, process, transmit, and display Customer Data as necessary to provide and improve the Services, and as otherwise permitted by these Terms and the Privacy Policy.
If you process protected health information (PHI) using the Services, you are responsible for ensuring that your use complies with HIPAA and all applicable laws. Where required, a Business Associate Agreement (BAA) may be executed. You must configure and use the Services in a manner consistent with your regulatory obligations.
The Services may integrate with third-party products and services. Your use of third-party services is governed by those providers’ terms and policies. We are not responsible for third-party services and disclaim all liability arising from your use of them.
Subscription plans, fees, and billing terms are described at the time of purchase and may change with notice. You authorize us and our payment processors to charge your payment method for the applicable fees.
Each party may access the other’s confidential information. Neither party will use or disclose the other’s confidential information except as necessary to provide or use the Services or as required by law.
We implement reasonable administrative, technical, and physical safeguards designed to protect the Services and Customer Data. However, no system is completely secure, and we cannot guarantee absolute security.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms. Provisions that by their nature should survive termination will survive, including, without limitation, confidentiality, disclaimers, limitations of liability, and indemnity.
We may update these Terms from time to time. If we make material changes, we will provide notice. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
